Multi-Entity Dual-Employment & Common Paymaster Agreement

We are incredibly excited to enter into this partnership with you. To be completely transparent: we love to pay actual money, not just "good vibes." Rest assured, we are actively working on the money end of things to ensure our growth translates directly to your compensation, but in the meantime, this contract formalizes our unique, multi-entity arrangement.

This Agreement is entered into and made effective retroactively as of the 19th day of June, 2026 ("Effective Date"), by and among:

  • Cornelius Codes LLC, an Illinois limited liability company ("Common Paymaster" / "Tech Company");
  • Las Tavern LLC, an Illinois limited liability company ("Hospitality Entity");
  • The Charlie Asher Cornelius Foundation Inc., an Illinois not-for-profit corporation ("Educational Foundation");
  • The Anna Solkowski Foundation Inc., an Illinois not-for-profit corporation ("Family Foundation");
  • Burt Place LLC, an Illinois limited liability company ("Entertainment & Camping Entity");
  • Adam Edward Cornelius LLC, an Illinois limited liability company ("Music Production Entity");
  • Any Present or Future Affiliate Entities legally owned, managed, controlled, or brought under the corporate orbit of Cornelius Codes LLC (collectively referred to as the "Affiliate Cluster"); and
  • Connor Shaynes, an individual residing in the State of Illinois ("Employee").

1. Political Operations & Advanced Campaign Clients

1.1 Scope of Political Activism

The Employee acknowledges that Cornelius Codes LLC and its associated entities are deeply integrated into active political operations. The Tech Company holds established, ongoing production and consulting contracts with various Political Action Committees (PACs), Candidate Committees, Independent Expenditure units, and individual political campaigns.

1.2 Mandatory Campaign Engagement

As a core requirement of their employment under Schedule A, the Employee shall be expected to actively participate in, execute, shoot, edit, and deliver media and technology packages for these diverse political campaigns. The Employee affirms they are prepared to work in fast-paced, politically charged environments alongside campaign staffs and political clients.

2. Organizational Affiliation & Workplace Culture Permissions

2.1 Association Prerequisite

Employment within the Affiliate Cluster is strictly contingent upon the Employee maintaining active membership in the Polska Ameryka Partia Socjalistyczna (Polish American Socialist Party). The parties acknowledge that membership is easily achieved, operates without financial dues, and is explicitly predicated on a shared organizational ethos ("vibes").

2.2 Workplace Gaming & Productivity Clause

Management hereby grants the Employee explicit permission to actively play the massive multiplayer online game Eve Online while on the clock during their scheduled shifts for Cornelius Codes LLC, the Foundations, Burt Place LLC, or Adam Edward Cornelius LLC. This permission is directly conditioned upon the Employee successfully completing all assigned daily metrics, production goals, and campaign deadlines. Management reserves the right to suspend this privilege if core operational deliverables or client political reports suffer delays.

2.3 Mandatory Labor Union Cultivation

To promote fair trade standards across the Employee's diverse operational requirements, the Employee shall actively seek inclusion, alignment, and proper membership in recognized labor unions corresponding to their active professions. This mandate applies to, but is not limited to, trade guilds and labor syndicates representing:

  • Digital media production, professional camera operations, and broadcast engineering (e.g., IATSE, IBEW, or NABET-CWA).
  • Hospitality, bartending, and commercial food and beverage operations (e.g., UNITE HERE Local 1).

3. Dual-Employment Framework & Common Paymaster Status

3.1 Multi-Entity Concurrent Employment

The Employee is concurrently employed as a W-2 employee by Cornelius Codes LLC and each distinct entity within the Affiliate Cluster. The Employee acknowledges that they maintain specific operational duties for each entity, which must be tracked independently.

3.2 Common Paymaster Authorization

Pursuant to IRC § 3121(s), the parties explicitly designate Cornelius Codes LLC as the Common Paymaster. Cornelius Codes LLC shall handle all central payroll processing, consolidate all hours worked across all entities into a single weekly paycheck, and manage federal, state, and municipal tax withholdings. Each respective entity shall reimburse Cornelius Codes LLC for its pro-rata share of gross wages, payroll taxes, and worker's compensation allocations.

3.3 Future-Proofing Orbit Clause

This Agreement automatically extends to, incorporates, and binds any new limited liability companies, corporations, or joint ventures established, acquired, or managed under the corporate orbit of Cornelius Codes LLC after the execution date of this contract. Any work directed by management on behalf of a newly formed entity shall immediately be governed by the tracking and compensation parameters outlined herein.

4. Segregated Scope of Services & Compensatory Schedules

The Employee shall track all hours worked utilizing distinct timecard codes corresponding strictly to the specific entity for which services are being performed. Cross-logging hours under an incorrect code is strictly prohibited.

4.1 Schedule A: Non-Tipped Entities & Baseline Wages

For all hours logged under the following entities, the Employee shall be paid a non-tipped baseline hourly rate of $17.05 per hour (the baseline minimum wage for the City of Chicago effective July 1, 2026):

  • Cornelius Codes LLC: Camera operator, film tracking, and digital media deployment for political reports and PAC campaigns.
  • The Charlie Asher Cornelius Foundation Inc. & The Anna Solkowski Foundation Inc.: Community outreach logistics, administrative maintenance, and non-profit organization assistance.
  • Burt Place LLC: Ground setup, operations management, and hosting operations for the entertainment and camping enterprise.
  • Adam Edward Cornelius LLC: Studio tracking, mixing assistant, and physical audio production engineering.

4.2 Schedule B: Tipped Hospitality Services (Las Tavern LLC)

  • Scope of Work: Food and beverage service, guest relations, bartending, and brick-and-mortar operations inside Las Tavern.
  • Base Tipped Wage: Employee shall be paid a cash tipped wage of $12.96 per hour (the legal tipped minimum wage for the City of Chicago effective July 1, 2026) solely for shifts spent behind the bar.
  • Tip Ownership: Employee retains 100% of voluntary tips left by bar patrons, subject to standard, pre-disclosed house tip pools. All tips must be reported weekly to the Common Paymaster for tax reporting.

5. Compliance Gates & Overtime Protection

5.1 Strict Adherence to the Dual-Jobs Rule

To safeguard the tip credit claimed by Las Tavern LLC, the Employee shall never perform duties belonging to Cornelius Codes LLC, the Foundations, Burt Place LLC, or the music production entity while clocked into a tipped shift at Las Tavern LLC.

5.2 Overtime Aggregation Rule

In accordance with the FLSA and the Illinois Department of Labor, all hours worked by the Employee across ALL entities in this Agreement shall be aggregated during a single workweek to determine overtime eligibility. Any aggregated hours exceeding forty (40) total hours in a single workweek shall be paid at 1.5 times the Employee's regular rate utilizing the standard Department of Labor weighted-average method.

6. Intellectual Property & At-Will Status

6.1 Work-Made-For-Hire

Employee explicitly agrees that all video footage, audio recordings, musical compositions, software code, digital designs, layout templates, or administrative systems created or captured while clocked under Cornelius Codes LLC, Adam Edward Cornelius LLC, or the Foundations constitute a "Work Made For Hire" under the United States Copyright Act (17 U.S.C. § 101). The respective ordering entity retains 100% of the intellectual property rights in perpetuity.

6.2 At-Will Employment

Employment across Cornelius Codes LLC and the entire Affiliate Cluster remains strictly "At-Will." The Employee or management may terminate the employment relationship at any time, with or without notice, and with or without cause.

7. Mandatory Expense Reimbursement (Illinois Compliance)

In strict accordance with the Illinois Wage Payment and Collection Act (820 ILCS 115/9.5), the Common Paymaster shall reimburse the Employee for all necessary, authorized expenditures incurred within the scope of employment. This includes, but is not limited to, pre-approved travel expenditures, client parking at political venues, and equipment transport costs. The Employee must submit all receipts and mileage tracking logs within thirty (30) days of incurring the expense to receive reimbursement under standard corporate accounting schedules.

8. Dispute Resolution & Litigation Venue

8.1 Voluntary Mediation

In the event of any dispute, claim, disagreement, or controversy arising out of or relating to this Agreement, its interpretation, or the Employee's employment status, the parties express a mutual preference and strong desire to resolve the issue amicably through voluntary, non-binding mediation before a mutually agreed-upon professional mediator.

8.2 Choice of Law and Court Jurisdiction

If mediation attempts fail, prove unsuccessful, or if either party elects to bypass the mediation process, all disputes shall be formally litigated and resolved exclusively within the court system. This Agreement shall be governed by, interpreted, and enforced in accordance with the laws of the State of Illinois. The parties explicitly agree that exclusive venue and jurisdiction for any formal litigation shall reside within the Cook County Circuit Court in Chicago, Illinois, or the United States District Court for the Northern District of Illinois.

9. Legal Miscellany & Enforceability

9.1 Severability

If any provision, paragraph, or clause of this Agreement is held by a court of competent jurisdiction or labor board to be invalid, void, or unenforceable, the remaining provisions of this Agreement shall nevertheless continue in full force and effect without being impaired or invalidated in any way.

9.2 Entire Agreement (Integration)

This Agreement constitutes the entire understanding and employment contract among the Employee, the Common Paymaster, and the Affiliate Cluster. It supersedes all prior or contemporaneous oral or written agreements, promises, understandings, or "vibe-based" commitments regarding specific compensation, timelines, or working terms. No modification or amendment to this contract shall be legally binding unless executed in writing and signed by authorized representatives of all parties.

10. Execution and Acknowledgment

By signing below, the parties confirm they understand the multi-entity tracking requirements, the conditional union obligations, the political environment, the court venue stipulations, and the common paymaster architecture.
